Valeant's European operations, known as ICN Polfa Rzeszow S.A., has a commercial office in Warsaw and manufacturing facility in Rzeszow, Poland with additional branches in the Czech Republic, Hungary, Slovakia, Romania and Bulgaria.
In August 2011, Valeant completed its acquisition of AB Sanitas, a publicly-traded specialty pharmaceuticals company based in Kaunas, Lithuania, with a broad branded generics product portfolio consisting of 390 products in nine countries throughout Central and Eastern Europe, primarily Poland, Russia and Lithuania. Sanitas has in-house development capabilities in dermatology, ophthalmology and hospital injectables and a robust pipeline of internally developed and acquired dossiers. Annual revenues for Sanitas are expected to be over EUR100 million in 2011, with an approximate revenue growth rate in the low double digits over the coming years.
In March 2011, Valeant completed its acquisition of PharmaSwiss S.A., a privately-owned branded generics and over-the-counter (OTC) pharmaceutical company based in Zug, Switzerland for euro 350 million. PharmaSwiss has a broad product portfolio in seven therapeutic areas and operations in nineteen countries throughout Central and Eastern Europe, including Poland, Hungary, the Czech Republic and Serbia. The company also has operations in Greece and Israel. In addition, PharmaSwiss is an existing partner to several large pharmaceutical and biotech companies offering regional expertise in such functions as regulatory, compliance, sales, marketing and distribution. PharmaSwiss had annual revenues of approximately euro 180 million in 2010 and has been growing at approximately 20% per year over the past 5 years.
In 2009, Valeant acquired EMO-FARM Sp. z o.o., a company that specializes in topical products and brings with it a portfolio of currently marketed products and additional products pending registration. As part of the transaction, Valeant also acquired a state-of-the-art 13,000 square foot manufacturing plant completed in early 2009 that specializes in gels, creams and ointments. Valeant intends to leverage this new capability and introduce certain U.S. dermatology products into Central Europe. Also in 2009, Valeant acquired the rights to several prescription and cosmetic dermatology products from a Polish specialty pharmaceutical company.
ICN Polfa Rzeszow S.A. is a highly regarded company in Poland and was awarded first place out of 374 finalist companies as "The Most Innovative Company 2008" in two categories: "The Most Innovative Company 2008 - Large Companies" and "The Most Innovative Company 2008 - An Organization Innovation." The fourth edition of these prestigious awards was organized and sponsored by 'Lewiatan', a Polish Confederation of Private Employers, BRE Bank, one of the largest banks in Poland, The Dun & Brandstreet Co, 'Rzeczpospolita', a popular daily newspaper and 'Manager Magazine', a monthly management magazine.
